TERM<\/strong><\/div>\n<div>These terms and conditions are incorporated into all\u00a0<em>The Veterinarian<\/em>\u00a0booking forms for any Display Advertisement, Inserts, Production Charges or other\u00a0Work which\u00a0<em>The Veterinarian<\/em>\u00a0agrees to make available to any Client in relation to its trade magazine publications, and apply from the date of signature\u00a0of any booking form by a Client until the end of the period specified in the booking form (\u201cthe Term\u201d) unless varied or cancelled in accordance with\u00a0Clause 3 . In these Terms of Trade, \u00a0\u2018Order\u2019 \u2013 means the Client\u2019s order for the supply of work or services by the Company, as evidenced by a signed\u00a0Client purchase order and\/or\u00a0<em>The Veterinarian<\/em>\u00a0booking form, and \u2018Work\u2019 \u2013 means any production, printing or other tasks performed by\u00a0<em>The Veterinarian<\/em>\u00a0as\u00a0specified in any Order.\n\n<\/div>\n<div><strong>2. ORDER<\/strong><\/div>\n<div>An Order given to <em>The Veterinarian<\/em> shall be binding on <em>The Veterinarian<\/em> and the Client if \u00a0&#8211;<\/div>\n<div>A booking form is prepared and sent, for and on behalf of The Veterinarian, to the Client; and<\/div>\n<div>A signed confirmation, whether on the <em>The Veterinarian<\/em> booking form or otherwise, is received from the Client; and<\/div>\n<div style=\"padding-left: 40px;\">i. The goods and \/ or services referred to in the Order are supplied by <em>The Veterinarian<\/em> in accordance with the Order, or<\/div>\n<div style=\"padding-left: 40px;\">ii. The goods and \/ or services ordered are delivered \/ supplied by The Veterinarian to the Client, his servants or agents.\n\n<\/div>\n<div><strong>3. VARIATION AND CANCELLATION<\/strong><\/div>\n<div>No variation or cancellation of any Order shall be valid unless requested in writing by the Client and acknowledged in writing and signed by the\u00a0Business Manager for the relevant magazine on behalf of <em>The Veterinarian<\/em>. If a Client makes such a written request, <em>The Veterinarian<\/em> may, at its sole\u00a0discretion, accept the variation or cancellation. If <em>The Veterinarian<\/em> does accept such written request, <em>The Veterinarian<\/em> may charge the Client for all\u00a0work performed prior to acceptance as well as all costs and charges it has incurred in connection with the variation or cancellation of the Order. If\n<em>The Veterinarian<\/em> does not accept any proposed variation or cancellation, and\/or if a Client wishes to cancel part or all of an Order after the date\u00a0which <em>The Veterinarian<\/em> has specified as the deadline for submission of materials for any edition in which that part of the Order is to appear, the\u00a0Client will be liable for the full value shown on the Order for that part of the Order.\n\n<\/div>\n<div><strong>4. PROOFS AND QUALITY CONTROL<\/strong><\/div>\n<div>Where proofs or final versions of work are sent to Client for its approval, The Veterinarian shall not be responsible for any errors not corrected by\nClient in those proofs or final versions of work. If Client considers the quality or content of any Work, as published, does not conform to proofs\napproved by the Client (or if final proofs were not submitted for final client approval, acceptable commercial standards), any such claim must be made\nin writing to <em>The Veterinarian<\/em> within 7 days of the date of publication of the magazine in question. No claim for any price adjustment based on the\nquality or content of the delivered product will be considered if made outside this period.\n\n<\/div>\n<div><strong>5. PRICE<\/strong><\/div>\n<div>Subject to Clause 6, unless otherwise expressly agreed in writing the price quoted in any Order does not include the cost of:\u00a0any work arising out of alterations by the Client of its instructions or changes in the Client\u2019s original requirements, specifications, samples etc;\u00a0any preliminary Work, experimental or otherwise carried out at the Client\u2019s request; and\u00a0any Work arising out of a failure by the Client to correct a proof supplied to it under clause 4.<\/div>\n<div><\/div>\n<div><strong>6. GOODS AND SERVICES TAX AND OTHER TAXES<\/strong><\/div>\n<div>Unless otherwise expressly agreed in writing, the price shall be the price charged by <em>The Veterinarian<\/em> at the date of supply plus the amount which <em>The Veterinarian<\/em>\u00a0is required to pay on account of any Goods and Services Tax or any other taxes or charges which may be established or levied by anygovernment authority (domestic or foreign) upon the goods and \/ or services or any part therefore or the supply, use, or delivery thereof.\n\n<\/div>\n<div><strong>7. TITLE<\/strong><\/div>\n<div>Title in the Work passes to the Client on receipt by The Veterinarian of payment in full of the Price for that Work. Until title in the Work passes to\nthe Client, the Client shall hold the Work solely as bailee for The Veterinarian, and the Client shall store that Work separately from its own goods\u00a0and those of any other persons and in a manner which clearly identifies the Work as the property of <em>The Veterinarian<\/em>. <em>The Veterinarian<\/em> reserves the\u00a0right to repossess any Work in which it retains title and the Client gives <em>The Veterinarian<\/em> an express license to enter is premises at any time without\u00a0notice in order to inspect or repossess the Work. Notwithstanding that <em>The Veterinarian<\/em> retains title to the Work in accordance with this clause 7 its\u00a0rights as unpaid seller shall not be affected. <em>The Veterinarian<\/em> responsibility and liability for risk of loss or damage with respect to the goods and \/\u00a0or services passes to the Client on supply of the goods and \/ or services to the Client, his servants or agents.\n\n<\/div>\n<div><strong>8. PAYMENT TERMS<\/strong><\/div>\n<div>The terms of payment for the goods and \/ or services supplied by <em>The Veterinarian<\/em> shall be strictly nett thirty (30) days from the date the goods and \/\u00a0or services are invoiced to the Client. The Client acknowledges that <em>The Veterinarian<\/em> will incur costs and losses if Client fails to comply with these\u00a0payment terms. \u00a0Interest may be charged at the rate of one point five per centum (1.5%) per month, calculated daily, on such amounts as remain unpaid\u00a0at the expiration of the thirty (30) day period and will be calculated as and from the date of invoice to the date payment is received. In addition,\n<em>The Veterinarian<\/em> may also charge, and recover as a debt due from the Client, all administration and other charges which it incurs as a result of any\u00a0failure of the Client to pay in full within the specified 30 day period.\n\n<\/div>\n<div><strong>9. LIMITATION OF LIABILITY<\/strong><\/div>\n<div>The total liability of <em>The Veterinarian<\/em>, its employees, contractors and related parties with respect to any Work is limited to the amount of the Price\u00a0for that Work. These terms do not exclude any implied terms which by virtue of Section 88 and 74K of the <em>Trade Practices Act<\/em> and any equivalent state\u00a0or territorial legislation may not be excluded. \u00a0All other warranties are excluded. \u00a0The Veterinarian shall in no event be liable for any damage\u00a0whether direct, indirect, special or consequential arising in any way out of the claimed inadequacies or otherwise of the Work.<\/div>\n<div>To the extent that non-excludable conditions or warranties are implied into this application, the total liability of <em>The Veterinarian<\/em>, its employees,\u00a0contractors and related parties for any breach shall be limited to:<\/div>\n<div style=\"padding-left: 40px;\">a. In the case of goods, the lowest of the cost of replacing the goods, acquiring equivalent goods or having the goods repaired; and<\/div>\n<div style=\"padding-left: 40px;\">b. In the case of services, the cost of having the services supplied again.\n\n<\/div>\n<div><strong>10. CONFLICTING OR CONTRADICTORY AGREEMENTS<\/strong><\/div>\n<div>In the event that any of the terms and conditions contained herein contradict, conflict or are inconsistent with the terms and conditions of any other\u00a0agreement in writing entered into between the Client and <em>The Veterinarian<\/em>, the relevant terms of the other agreement will be read down to the extent\u00a0required to achieve consistency with these terms and conditions, unless that other agreement is expressly stated to override these terms, and the\u00a0agreement is signed by an Officer of <em>The Veterinarian<\/em> (as that term is defined in the Corporations Law), in which event those terms shall prevail over\u00a0these terms.. \u00a0All either event, each agreement\u2019s other terms and conditions remain unaffected other than to the extent of any such inconsistency.<\/div>\n<div><strong>\n11. CLIENT DEFAULT, INSOLVENCY OR ADMINISTRATION<\/strong><\/div>\n<div>If the Client makes default in any payment, commits any act of bankruptcy, appoints or states an intention to appoint an administrator, or any action\u00a0is taken to liquidate the Client either voluntarily or otherwise, <em>The Veterinarian<\/em> may, at its option, withhold further supplies or cancel the Contract\u00a0without prejudice to its rights hereunder, unless the administrator or liquidator accepts all amounts payable under any order as a personal liability.\u00a0These terms and Conditions shall bind the Client in his own right, his executors and administrators.\n\n<\/div>\n<div><strong>12. GOVERNING LAW, JURISDICTION, SEVERABILITY AND INTERPRETATION<\/strong><\/div>\n<div>These terms and conditions shall be governed and construed in accordance with the laws of the state of New South Wales and the parties hereby agree to\u00a0submit to the non-exclusive jurisdiction of the courts of that State. The Client and <em>The Veterinarian<\/em> agree that if all or part of any one or more\u00a0provisions of this Contract are held to be invalid or unenforceable that portion shall be deemed to be deleted from the Contract and shall not affect\u00a0the validity or enforceability of the remaining provisions.
